Terms of Service

1. Who can use ClipGem

You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract. If you use the Service for an organization, you represent that you're authorized to accept these Terms on its behalf, and “you” includes that organization.

2. Your account

• Keep your login credentials confidential. You're responsible for everything that happens under your account, whether or not you authorized it.
• Give us accurate information and keep it current. Tell us promptly at support@clipgem.app if you suspect any unauthorized use of your account.
• A workspace may have multiple members. The workspace owner controls membership, billing, and connected accounts, and is responsible for their team's use of the Service.

3. The Service, in short

ClipGem helps you analyze a website into a growth profile, generate short-form content ideas, scripts, and captions, organize them on a calendar, schedule them to third-party platforms (such as TikTok, Instagram Reels, and YouTube Shorts), and review performance. Features, limits, and plans may change as the Service evolves.

4. Plans, credits, and billing

Paid plans, credits, renewals, cancellations, and refunds are governed by our Subscription, Billing & Refund Policy, which is part of these Terms. In short: paid plans renew automatically until you cancel, and credits are a license to use the Service, not currency or property.

5. Acceptable use

Your use of the Service must follow our Acceptable Use Policy. Among other things, you may not use ClipGemto create or distribute unlawful, infringing, deceptive, or harmful content, to spam, or to abuse the connected platforms' rules. We may suspend or terminate accounts that violate it.

6. Your content

“Your Content” means the URLs you submit, brand information, prompts, instructions, uploads, and any other material you provide, plus the drafts, scripts, captions, and other output generated for you through the Service (“Output”).

• You own Your Content. As between you and us, you retain all rights in the material you submit, and, to the extent permitted by law, in the Output generated for you. You are responsible for Your Content and for making sure you have the rights to use it.
• License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting and processing), transmit, and display Your Content solely to operate, secure, support, and improve the Service and to carry out your instructions — including sending content to the third-party platforms you choose to publish to.
• Publishing.When you connect a third-party account and schedule a post, you authorize us to transmit the relevant content to that platform on your behalf. Your content there is also subject to that platform's terms.

7. AI-generated output

• The Service uses AI models to analyze sites and generate suggestions. Output can be inaccurate, generic, or unsuitable, and similar Output may be generated for other users. Review everything before you rely on it or publish it.
• You are solely responsible for the content you publish, including its accuracy, any claims it makes, required disclosures (for example, advertising or sponsorship disclosures), and its compliance with law and the destination platform's rules.
• Output is provided to support your own creative work; it is not legal, financial, medical, or other professional advice.

8. Third-party services

The Service connects to third-party platforms and providers (for example, social platforms, payment processors, and AI providers). Your use of those services is governed by their terms and privacy policies, not ours. We aren't responsible for third-party services, and a third party may change or discontinue access to its APIs at any time, which can affect Service features.

9. Our intellectual property

The Service itself — our software, design, brand, logos, templates, and the ClipGem name — belongs to FounderGem LLC and our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, modify, reverse engineer, resell, or create derivative works of the Service, or remove any proprietary notices, except as the law expressly permits.

10. Feedback

If you send us ideas or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

11. Suspension and termination

• You may stop using the Service and close your account at any time.
• We may suspend or terminate your access if you breach these Terms, create risk or legal exposure for us, or fail to pay, or if we reasonably need to in order to protect the Service or other users. We will try to give notice where practical.
• On termination, your right to use the Service ends. Sections that by their nature should survive — including content licenses you've granted, disclaimers, limitations of liability, and indemnities — survive. We may delete Your Content after termination as described in our Privacy Policy.

12. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, secure, or that Output will be accurate, reliable, or meet your expectations or platform requirements.

13. Limitation of liability

To the fullest extent permitted by law, FounderGem LLCand its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to the Service — even if we were advised of the possibility. Our total liability for all claims relating to the Service in any twelve-month period is limited to the greater of (a) the amount you paid us for the Service during that period or (b) one hundred U.S. dollars (US$100). Some jurisdictions don't allow certain limitations, so some of these may not apply to you.

14. Indemnification

You will defend, indemnify, and hold harmless FounderGem LLCfrom claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, your violation of these Terms or applicable law, or your infringement of any third party's rights.

15. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Wyoming for any dispute not subject to other agreed resolution, and each party waives any objection to venue there. Nothing here limits either party from seeking injunctive relief to protect its intellectual property.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the “Last updated” date and, where appropriate, give additional notice. Changes take effect when posted. Continuing to use the Service after changes means you accept the updated Terms.

17. General

• Entire agreement. These Terms, together with the policies they reference, are the entire agreement between you and us about the Service.
• Severability. If any provision is unenforceable, the rest stays in effect.
• No waiver.Our failure to enforce a provision isn't a waiver of it.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
